Terms of Service
Effective date: September 27, 2026
These Terms of Service ("Terms") are an agreement between you and Toolscaled LLC, a Washington limited liability company ("Toolscaled", "we", "us"). They cover your use of the Toolscaled website, web application, MCP server, and related services (the "Service"). If you use the Service for an organization, you accept these Terms for that organization, and "you" means both you and it. If you do not accept these Terms, do not use the Service.
Our Privacy Policy explains how we handle personal data. Our Refund and Cancellation Policy explains billing, cancellation, and refunds. Both form part of these Terms.
1. The Service
Toolscaled lets you connect an AI agent (for example Claude or ChatGPT) and the services your business uses, work through tasks with that agent, save the approach that works as a workflow, and run workflows again by hand, on a schedule, or when an event arrives (an "automation").
We change and improve the Service over time. We may add, change, or remove features. If we remove a feature that is a material part of a paid plan, we tell you in advance where we reasonably can. Features that we label as preview or beta may change or stop, and they come with no commitment of availability.
2. Accounts and workspaces
- You must be able to enter a binding contract to use the Service. If you use the Service for an organization, you must have the authority to bind it to these Terms.
- Give accurate information when you sign up, and keep it current.
- Keep your sign-in method secure. You are responsible for activity under your account. Tell us at once at support@toolscaled.com if you think someone used your account without permission.
- The Service is organized in workspaces. A workspace belongs to the organization that created it, not to an individual member. A user belongs to one workspace at a time. Workspace administrators control membership, connected services, credentials, billing, and settings. A member whom an administrator removes from a workspace loses access to its content. To leave a workspace, ask its administrator or email support@toolscaled.com.
3. Connected services and credentials
- The Service works by calling other services on your behalf: your email, calendar, file storage, business applications, MCP servers, and AI model providers ("Third-Party Services"). You choose which ones to connect and which permissions to grant.
- When you connect a Third-Party Service, you authorize us to access it, and to act in it, as your workflows, automations, and agent instruct. You confirm that you have the right to grant that access.
- Your use of a Third-Party Service is also subject to that service's own terms. We do not control Third-Party Services, and we are not responsible for their availability, their changes, or what they do with data you send to them.
- You can disconnect a Third-Party Service at any time from the Connections page. Disconnection stops new access. It does not reverse actions already taken.
4. Your workflows and automations
- Workflows and automations act in your connected services because you configured them to. They can send email, change records, move files, and take other actions with real effects. You are responsible for what your workflows and automations do, and for reviewing them before you turn them on.
- Use the review and approval steps the Service offers where a mistake would be costly.
- Some steps use an AI model to classify, extract, or draft. AI output can be incomplete, wrong, or inappropriate. Do not rely on it as professional (for example legal, medical, or financial) advice. Review AI output before it has consequences that matter to you.
5. Your content
- "Your Content" means the data you and your members put into the Service or that the Service fetches from your connected services for you: workflows, inputs, outputs, messages, files, and records.
- You keep all rights in Your Content. You give us a limited license to host, copy, process, transmit, and display Your Content only as needed to provide, secure, and support the Service for you, and as our Privacy Policy describes.
- We do not use Your Content to train AI models. We send Your Content to an AI model provider only to perform a step you or your automation asked for.
- We may use usage data about the Service, which does not include Your Content (for example request counts, durations, errors, credit use, and which features are used), to operate, secure, and improve the Service.
- You are responsible for Your Content and for having the rights and consents needed to process it through the Service, including personal data of other people.
- Data from Google and Microsoft accounts is handled as our Privacy Policy describes, including the Google API Services User Data Policy and its Limited Use requirements.
6. Acceptable use
Do not use the Service to:
- break any law, or help someone else break one;
- send spam, bulk unsolicited messages, or messages that break email or anti-spam law;
- infringe or misappropriate the rights of others, including privacy and intellectual property rights;
- access a system, account, or data without permission, or get around a limit or security measure of the Service or of a Third-Party Service;
- upload or spread malware, or interfere with the operation of the Service;
- harass, threaten, or harm anyone, or produce content that sexually exploits minors;
- resell, sublicense, or provide the Service to third parties as your own product, unless we agree in writing;
- copy, reverse engineer, or build a competing product from the Service, except where the law allows it.
When you use an AI model through the Service, follow the terms and usage policies of that model's provider. Our AI Model Providers page lists each provider and links to its terms. A breach of those terms or policies through the Service is also a breach of these Terms.
We may apply fair-use limits (for example on request rates, run volume, or storage) to protect the Service for all customers. Plan limits appear on the pricing page and in your account.
7. Plans, credits, and payment
- The Service has a Free plan and paid plans. Plan prices, included credits, and limits appear on the pricing page. Stripe processes payments. Prices are in US dollars and exclude taxes. You pay the taxes that apply.
- Paid plans renew automatically each month until cancelled. By subscribing, you authorize us to charge your payment method each period. Cancellation, plan changes, automatic top-ups, failed payments, and refunds work as our Refund and Cancellation Policy describes.
- Credits measure use of the Service, such as model calls made by automations. Credits have no cash value, are not property, cannot be transferred or exchanged for money, and expire as the pricing page and the Refund and Cancellation Policy describe. When a workspace has no credits left, automation runs that need credits stop until credits are available.
- We may change prices. We tell you at least 30 days before a price change applies to your paid plan. The new price starts with your next billing period after that notice. If you do not agree, cancel before it applies.
8. Our property
The Service, including its software, design, documentation, and trademarks, belongs to us and our licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription, as these Terms allow. We keep all other rights.
If you send us suggestions or feedback, we may use them without any obligation to you.
9. Suspension and termination
- You can stop using the Service at any time. A workspace administrator can cancel a paid plan from the Plan and usage page. You can ask us to delete your account by email to support@toolscaled.com, as our Privacy Policy describes.
- We may suspend or limit access, at once if needed, if you break these Terms, if your use puts the Service, other customers, or third parties at risk, if a payment fails or is disputed, or if the law requires it. We tell you why, unless the law or a security reason stops us. We restore access when the cause is resolved.
- We may end these Terms for a workspace with 30 days' notice, or at once for a serious or repeated breach. If we end them without a breach by you, we refund prepaid fees for the unused part of the period and unused credit packs.
- After termination you can export Your Content for 30 days, where the Service provides export. After that we delete it as our Privacy Policy describes.
- Sections 5 (the responsibility part), 7 (amounts owed), 8, 10, 11, 12, and 14 continue after termination.
10. Disclaimers
The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the Service will be uninterrupted or error-free, that AI output will be accurate, or that Third-Party Services will stay available or compatible.
11. Limitation of liability
To the extent the law allows:
- Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if told that they were possible.
- Each party's total liability arising from these Terms or the Service is limited to the greater of (a) the amounts you paid us in the 12 months before the event that gave rise to the claim, and (b) US $100.
- These limits do not apply to your payment obligations, to your obligations under section 12, or to liability that the law does not allow to be limited, such as liability for fraud, gross negligence, or wilful misconduct, or for death or personal injury caused by negligence.
12. Indemnity
If you use the Service for a business, you will defend and hold us harmless from third-party claims that arise from Your Content, from the actions your workflows and automations take, or from your breach of these Terms or of the law, and pay the resulting damages and reasonable costs. We will tell you promptly about such a claim and let you control its defense.
13. Changes to these Terms
We may update these Terms. We post the new version on this page with a new effective date. If a change is material, we tell workspace administrators by email or in the Service at least 30 days before it takes effect, unless the change is required by law or fixes a security problem. If you keep using the Service after the change takes effect, you accept the new Terms. If you do not accept them, stop using the Service and cancel your plan.
14. Governing law and disputes
- The laws of the State of Washington, USA, govern these Terms, without regard to conflict-of-law rules.
- Contact us first at support@toolscaled.com. Most problems can be resolved that way. If a dispute is not resolved within 30 days, either party may bring it in the state or federal courts located in King County, Washington, and both parties consent to their jurisdiction.
- If you are a consumer in the European Union or the United Kingdom, you also keep the protection of the mandatory laws of your country, and you may bring a claim in the courts of your country.
15. General
- These Terms, with the Privacy Policy and the Refund and Cancellation Policy, are the whole agreement between you and us about the Service. A written agreement signed by both parties (for example for an Enterprise plan) takes precedence where it differs.
- If a court finds part of these Terms unenforceable, the rest stays in effect.
- If we do not enforce a right, we do not waive it.
- You may not transfer these Terms without our written consent. We may transfer them to a successor of our business.
- Neither party is liable for delays caused by events outside its reasonable control.
- We send notices to the email address on your account or show them in the Service. Send notices to us at support@toolscaled.com.
